There are some situations that would make such a meeting allowable under Reg FD. The simplest scenario is one in which the shareholder enters into a confidentiality agreement with the company preventing the shareholder from disclosing or acting on any information obtained during such a meeting. That said, the specific objectives of the proposed meeting should be carefully considered in light of Reg FD and other regulatory requirements before concluding that a confidentiality agreement would suffice.

You should be aware that whether or not you hire someone as an employee, they could be considered an employee under FLSA (potentially resulting in liability for your business). As a result, the question is not really when you are obligated to offer them full time employment but if they are already effectively employees and need to be treated as such.

If the domain name infringes on any trademarks owned by your nonprofit, then there are several ways to recover a domain name from a cybersquatter. You can send a cease-and-desist letter, pursue arbitration with ICANN, or file a lawsuit for trademark infringement. The lawsuit option can get expensive quickly, so it is really only practical if the value of your trademarks warrants it. Arbitration or a cease-and-desist can be relatively inexpensive as well as expeditious ways to get a domain owner to respond to your trademark infringement claim. If the domain name does not infringe on your trademarks, then there is really no way to force the owner to sell or transfer the domain. However, there are many domain monitoring services available that will provide notifications when a domain name registration is expiring. If the domain owner does not proactively renew the domain registration prior to expiration, you may be able to take ownership of the domain at expiration. Also, you could hire a domain broker to contact the owner and negotiate the purchase on your behalf. While there is a fee to the broker and no guarantee that the domain owner will be any more responsive to the broker than they have been to you, having an intermediary involved may reduce the conflict due to the circumstances of your board member's departure.

You need to distinguish between what CAN-SPAM refers to as commercial vs transactional or relationship content. Commercial email is subject to CAN-SPAM while transactional or relationship email is subject only to provisions such as not containing false routing information. If the content of the email message is designed to advertise products or services, then it is commercial. If the content is intended to provide information about a transaction or an ongoing customer relationship related to a transaction (advertising messages to existing customers are still commercial content), then it is transactional or relationship content. You may want some legal approval process for all customer emails because your messages may contain both commercial and transactional or relationship content requiring some judgment to be made.
