1There are some situations that would make such a meeting allowable under Reg FD. The simplest scenario is one in which the shareholder enters into a confidentiality agreement with the company preventing the shareholder from disclosing or acting on any information obtained during such a meeting. That said, the specific objectives of the proposed meeting should be carefully considered in light of Reg FD and other regulatory requirements before concluding that a confidentiality agreement would suffice.
